Terms of Service

1. Acceptance of Terms

By accessing or using Customer OS by Skylarq (the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Allston Labs, Inc. ("Company," "we," "us," or "our"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including users accessing it during our early access or free tier period. We may update these Terms from time to time, and your continued use of the Service after any changes constitutes acceptance of the revised Terms.

2. Description of Service

Customer OS is a hosted service that builds a shared, living memory of your customers and accounts from the sources you connect — such as Gmail, calendar, and Slack — and makes that memory available to your AI tools through the Model Context Protocol (MCP) and to your team. The Service includes:

• A living customer memory — a continuously updated brief on every account, assembled from your connected sources
• Plain-language answers — ask questions about your customers and get cited answers drawn from your own data
• Risk and next-step surfacing — promises made, commitments open, and accounts going quiet
• MCP access — connect the memory to Claude, ChatGPT, Cursor, and other MCP-compatible AI clients
• Team workspaces — one shared source of truth across your team, with per-workspace isolation

Customer OS connects to AI clients that you provide and control. Your use of those clients is governed by their own terms. Features, pricing, and availability are subject to change as we continue to develop the product.

3. User Accounts

To use the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Accept responsibility for all activity that occurs under your account and workspace
• Only connect data sources you are authorized to access
• Notify us immediately of any unauthorized use of your account

You must be at least 16 years old to create an account and use the Service. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Connect or process data you are not authorized to access, or that violates applicable privacy laws
• Use the Service to harass, abuse, or harm another person or to engage in discriminatory practices
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the Service or the servers or networks connected to it
• Attempt to gain unauthorized access to the Service, other workspaces, or computer systems
• Use the Service to distribute malware, viruses, or other malicious code
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or provide access to the Service to third parties without our written consent

We may investigate and take appropriate legal action against anyone who violates these provisions, including suspending access and reporting violations to law enforcement.

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Allston Labs, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our Content: All software, text, graphics, logos, and other materials that are part of the Service are our property or the property of our licensors. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

Your Content: You retain ownership of the data you connect to or submit to the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process, store, and display Your Content solely to provide and improve the Service for you. We will not sell Your Content to third parties.

AI-Generated Output: Briefs, summaries, and answers generated by the Service are provided for your use. You are responsible for reviewing AI-generated content before relying on or acting on it.

6. Privacy

Your privacy is important to us. Our use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

In summary, we collect information necessary to provide the Service, including account details, usage data, and the source data you choose to connect. We use industry-standard security measures, isolate each workspace, and do not sell personal information to third parties.

7. Disclaimers & Limitation of Liability

Disclaimer of Warranties: The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

AI Accuracy: The Service uses artificial intelligence to generate briefs, recommendations, and answers. While we strive for accuracy, AI-generated outputs may contain errors, inaccuracies, or biases. You acknowledge that AI-generated content should be reviewed before use and that we are not responsible for decisions made based on AI outputs.

Third-Party Integrations: The Service connects to third-party platforms (such as Gmail, Slack, and AI clients). We are not responsible for the availability, accuracy, or policies of third-party services. Your use of them is subject to those services' own terms.

Limitation of Liability: To the maximum extent permitted by applicable law, Allston Labs, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill resulting from:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Unauthorized access, use, or alteration of your content or data
• Errors, inaccuracies, or omissions in AI-generated content

In no event shall our aggregate liability exceed the greater of one hundred U.S. dollars (USD $100.00) or the amount you paid us, if any, in the twelve (12) months preceding the claim.

8. Modifications

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last updated" date at the top of this page. We may also notify you through the Service or via email.

Your continued use of the Service after any changes constitutes your acceptance of the new Terms. We also reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice.

9. Termination

You may stop using the Service and close your account at any time by contacting us at phillip@allstonlabs.com.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including a breach of these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and associated data, subject to applicable data retention laws
• Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability

We will make reasonable efforts to allow you to export your data before deletion, provided you request an export within thirty (30) days of termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may bring a claim in the state or federal courts located in Delaware, and you agree to submit to the personal jurisdiction of such courts.
